Why it matters: If the deal closes, Perion's shares would stop trading on Nasdaq and the Tel Aviv Stock Exchange and the company would become a subsidiary of Affle, an advertising technology group listed in India.
Affle, an advertising technology group based in India, has agreed to buy Perion in an all-cash deal, the companies said in releases on Sunday. Perion shareholders would receive $11.70 per share, which Perion says gives the company an equity value of about $420 million and is a 34.5% premium to its closing price on Oct 30, the last trading day before the agreement was signed.
The buyer: the purchase is being made by an Israel-based subsidiary of Affle 3i Limited, which is listed on India's BSE and NSE exchanges. Perion, which is based in Tel Aviv, sells advertising tools across retail media, connected TV and digital out-of-home screens, and would keep operating under its own brand, according to its release.
A window for other bids: the agreement includes a 40-day "go-shop" period, during which Perion and its financial adviser can actively look for competing offers. Perion says that period ends at 11:59 PM Israel time on Dec 11 and that there is no assurance it will produce a better proposal.
Financing and timing: Perion's board approved the agreement unanimously, and Affle says its own board approved it as well. Perion says Citibank is providing debt financing for the deal and that closing does not depend on financing. The companies expect to complete it in early 2027, subject to a Perion shareholder vote, a U.S. merger review waiting period and other conditions. Perion's shares would then be removed from Nasdaq and the Tel Aviv Stock Exchange.
Cash on hand: Perion says it had $228.3 million in cash, short-term bank deposits and marketable securities as of Sept 30.
Affle's aim: Affle says the deal would help it grow its business of charging advertisers per converted user in developed markets by pairing Perion's channels with its own mobile advertising platform. That is Affle's own description of its plans.
