Why it matters: A national government is taking an equity stake in a private AI model developer with conditions attached, as Cohere has agreed to keep its Canadian incorporation and headquarters and to report on its job and investment commitments as the money is paid in stages.

Prime Minister Mark Carney announced on Oct 29 that the Government of Canada will make an equity investment of up to $1.6 billion in Cohere, the Toronto-founded company that builds AI systems for businesses and governments. The government called it a commercial investment made alongside private investors including NVIDIA, Bell and Schwarz Group. Its release gives the amount without naming a currency; Cohere states the figures for the wider round in Canadian dollars.

The round: the same day, Cohere announced the initial close of its Series E round, which targets up to CAD $7 billion and would value the company at CAD $35.7 billion if the target is reached. Cohere named the companies of Schwarz Group as lead investor. New investors include Bell Ventures, Bullhound Capital and the Government of Canada, and Inovia Capital, NVIDIA and Prosperity7 Ventures returned, according to the company's release. Cohere did not say in the release how much has been committed so far.

The conditions: the government said its money will be paid in stages, with regular reporting on Cohere's progress. As part of the deal, Cohere committed to:

Cohere's own figures: the company says it ended the third quarter of 2026 with 165% year-over-year growth in annual recurring revenue and that its customer base grew 20-fold over the past year to 300 customers. Cohere says it will use the money for model and product development, products for regulated industries, and computing infrastructure. These figures are the company's and were not independently verified.

"Today we are announcing the initial close of our Series E, a record-setting round that marks the largest private capital raise in Canadian history," Aidan Gomez, Cohere's CEO, said in the release. The ranking is Cohere's own description.
